VekâletAgency

Başkasının adına irade kullanmakExercising a will in another's name

One person acts in another's name: signs in their place, buys and sells on their account, speaks through their mouth. What they do takes effect not upon themselves but upon the one they represent. This is called agency — one of law's most everyday yet strangest inventions: a will doing its work in another body.

A borrowed will

At the heart of agency lies a strange transfer: one person's will is lent, temporarily, to another. The lawyer decides for the client, the manager for the company, the parent for the child. But this borrowed will is not unlimited; it is only as wide as the authority. The agent is free within the given frame, powerless outside it. This is also how the abstraction called a legal person grows hands and feet: the company cannot speak itself, someone speaks in its name.

Agency is a will doing its work in another body. Power can be delegated; but delegated with it is the duty not to abuse it.

A bond founded on trust

Agency is not mere authority but a relationship of trust. The represented leaves their own interest in another's hands; so the agent's first duty is loyalty — to look after not their own interest but the one they represent. Here good faith is not an ornament but the load-bearing beam of the relationship. The moment the agent begins to think of their own pocket, agency rots from within; the form stands but the spirit dies.

Word and representation

The curious thing is that agency, too, rests on a word: the word "I will act in your name" and "represent me." Without that word, what I do does not bind you. Here law builds an invisible cable: one carrying a body's act into another person's legal sphere. When that cable breaks — authority exceeded, trust violated — the act is left ownerless, binding no one.

Perhaps agency is the legal form of admitting that a person cannot be everywhere alone. We multiply ourselves; but the price of that multiplication is trusting enough to place ourselves in another's hands.
